Ardent Health Cancels Ex-CEO Severance Over Undisclosed Pay
Brentwood, Tennessee-based Ardent Health has stopped paying the severance it owed former President and CEO Marty Bonick and canceled his unvested stock awards, according to an Oct. 23 filing with the Securities and Exchange Commission cited by Becker's Hospital Review. The board concluded Bonick did not fully disclose compensation he received from third parties during his tenure.
The decision turns a routine executive exit into a clawback. Severance and unvested equity are typically protected unless a departure is reclassified for cause, which is what the nondisclosure finding appears to trigger. For Ardent, a publicly traded operator of hospitals and clinics, the SEC disclosure puts the dispute on the record for investors.
The case reflects sharper board scrutiny of executive conflicts of interest and outside income across health systems. As hospital leaders take on advisory roles, board seats, and consulting work, governance teams are increasingly demanding full disclosure, and are prepared to withhold exit pay when they find gaps.
